The Constitution of the Zoological Society of Assam

1. Name: The name of the Society Shall be “The Zoological Society of       Assam “ to be registered under the Society act of 1860 and to be herein    called the ‘Society’.


2. Headquarters: The headquarters of the Society shall be at Zoology Department, Guwahati University.


3. Aims and Objectives:  The aims and objects of the Society shall be :-

To promote and advance the cause of Zoology and allied  sciences in pure and applied branches of Zoology.
 
To promote education and research in different branches.
 
To disseminate scientific knowledge by holding symposia, seminars and discussion on original works.
 
To popularize the science by holding meetings and organizing popular talks and science exhibitions.
 
To take all such other steps and measures  as may be necessary for the fulfillment of the aims and objects of the society.
 


4. Membership & Subscription:
Eligibility : Any person interested in Zoology or allied branches of the science and technology is eligible to be become a member of the Society.

A. General members :
Any eligible person not below the age of 18 years paying a registration fee of rs.5.00 (Rupees five) only and an annual subscription of Rs. 15.00(Rupees fifteen) only, either at the headquarters or at the branches of the society shall become a member of the Society. The Annual subscription shall fall due on the 1st April of every year.
B. Honorary members :
Persons eminent for their contribution to science and technology or persons who have rendered conspicuous service to the development of these, shall be the honorary members of the society. The honorary members shall be elected for life by the General Body of the Society at its annual meetings on the recommendations of the Executive Committee .
C. Life Members :
  1. An eligible persons who pays a sum of Rs. 250.00 (Rupees two hundred and fifty) only, in one or two installments within a year shall be deemed Registration fee of Rs. 5.00 (Rupees five) only.
  2. A life membership fees shall be received from an eligible person living in foreign country. The fees shall be $ 50.00 or  20.00.
D. Institutional Members :
  1. Any institution interested in Zoology or allied branches shall be eligible to become an Registration fee of Rs. 50.00 (Rupees fifty)only.
  2. Each institution to send two representatives to attend the General Body Meeting and the conference of the Society , but they shall have no voting rights.
E. Student members :
  1. Any bonafide student of a recognized  educational institution shall be eligible to become a members of  the society  on payment of a Registration fee of Rs. 1.00(Rupee one) only and an annual subscription for school students Rs. 3.00(Rupees three) only, for  college students Rs. 5.00(Rupees five) only  and Post Graduate students Rs. 10.00(Rupees ten) only to be a student.
  2. A student member shall enjoy the privileges as determined by the Executive Committee from time to time and he/she shall not have the right to vote and to hold any office (as defined clause ‘A’) of the society.
F. Voting Rights:
All members of the categories  A, B &C shall have the voting rights. Any members who fails to pay the subscription on or before the 31st March of the year shall loss the right of voting and or holding any office of the society. Membership of the defaulters will remain suspended till he/she pays his/her dues.


5. Official Year: 
The calendar year (January to December ) shall be the official year of the society.


6. Administrations:
A.
The  administration of the society shall be vested in an executive committee consisting of the –one (1) President , Three (3) Vice-President, one (10 General Secretary, Two (2) Joint Secretaries, Five (5) Assistant secretaries and Twenty (20) elected members will act as executive  members for administration and other policy matters. However, for smooth functioning and organization , the General secretary two joint secretaries and the  Treasurer should be from the headquarters. The term of the office bearers of the Executive committee shall be one official year.

B.
Election of the Office bearers :
Their Functions :

a) President:

The president shall be elected at the General Meeting of the General Body of the Society after obtaining consent of the persons concerned .
The President when present shall preside over the meetings of the Executive committee and of the General Body.
The President shall be the Ex-official member of all sub-committees and boards appointed by the society over the meetings of such bodies.
The President shall have the right of casting vote.

b) Vice-president:

The Three 93) Vice-presidents shall be elected at the General meeting of the General Body of the Society.
In the absence of the President any one of the Vice-President of the Society shall be elected to preside over the meetings of the Executive Committee of the General Body.

 

c) General Secretary:

The general secretary shall be elected at the General meeting of the General Body of the Society.
The General Secretary shall be responsible for the management of the society in accordance with the rules and regulations of the society.
He/She keep records of the proceedings of all meetings and shall be over all charge of the Office of the headquarters.
He/She shall be an Ex-office member of all sub-committees and boards appointed by the Society.
In consultation with the President and the Vice-President he/she shall serve at least seven days notice for holding a meeting of the Executive Committee.
He/She shall submit the annual report at the annual General Body meeting of the society.
He/She shall prepare the list of the members of the Society for circulation.
General secretary shall be the publisher of all books, leaflets and other documents by the Society.


d) Joint Secretary:

The two Joint Secretaries shall be elected by the executive committee from amongst its members.
They will assist the General Secretary in all matters. However, Executive body should give the choice of the 2 Joint Secretaries to the General Secretaries will submit the name of the two persons to his choice.


e) Assistant Secretaries:

The five Assistant Secretaries shall be elected by the General Body from amongst its members.
The Assistant Secretaries will assist the General Secretary and the Joint secretaries. Assistant Secretaries should be elected from different regions of Assam.


f) Treasurer:

The treasurer shall be elected by the General body from amongst its members.
He/She shall be the custodian of the funds of the Society.
The funds of the society shall be operated jointly by the Treasurer and the General Secretary in any schedule bank.
He/she shall keep all accounts for submission to the Executive committee and the General Body after due audit.
Publication : The society will arrange to publish Souvenir/Journals and any other relating to the aims and objectives after attaining sound financial condition and the publication, editor and function of editor etc. will be decided by the Executive Committee.
The Office bearers of the society shall not be en titled to any allowance for attending duties at the office at the headquarters except taken allowance as provided in the financial rules of the society , which will frame out by the Executive Committee from time to time.


7. Power of the Executive committee:

The executive committee shall be responsible to the General Body of the Society
The executive Committee shall have the power to determine the program of work for achieving the aims and objective of the Society.
The Executive Committee shall have the power to determine the concessional rates at which publication of the Society can be can be supplied to its members.
the Executive Committee shall have the power to take whatever steps necessary for the fevival of suspended membership.
The Executive Committee shall at least two times in a year.
The executive Committee shall have the power to appoint any salaried persons for the work of the society.
The Executive Committee Shall have the power to decide all financial matters of the society.
The Executive Committee shall have the power for Sub-Committee for different purposes.
All sub-Committees and the Editorial Boards shall be under the control of the Executive Committee.


8. Branch Societies:

A branch of the society can be formed in any place with a definite jurisdiction with at least 10 (ten) members. All local members with-in the jurisdiction of a branch shall normally pay their membership fees direct to the branch concerned.
A branch of the society will be controlled from the headquarters and the policy of branch will be guided by the Executive Committee of the Society.


9. General Body:

The general Body meeting will be held at the completion of the official year.
The General Body of the Society shall be composed of all members of the society of the categories of (I)A,B,C and c(II), (Delegates from the Institutional members)
The notice for General Body meeting shall be issued by the general secretary at least 20 days before the date of the meeting.
An emergent extra-ordinary meeting of the General Body can be convened at any time by the Executive Committee.
An extra-ordinary meeting of the General Body shall be convened by the executive committee when requisitioned in writing by at least one third of the members for any specific purpose within 15 days of the receipt of the requisition notice.


10. Quorum:

One third of the total number of members of the General Body or 30 members, whichever is less, shall constitute the quorum or the General Body meeting.
The Quorum for a meeting of the Executive Committee shall be one third of the members.


11. Auditor:  
The auditor shall be appointed by the Executive Committee at its meeting for auditing the accounts of the Society.

12. Income and Property of the Society:
Income and Property of the Society be applied solely towards the promotion , the objects of the Society as set forth in the aims and objects. Under no pretence whatever ,shall such property, income revenue etc. of the Society shall be transferred by way of dividend , bonus or otherwise to the members of the Society  except in case of  remuneration of a salaried officer and token  honorarium for services rendered to the society.

13. Dissolution of the Society:


A special general body meeting will be summoned specially for the purpose of dissolution of the Society with not less than three months notice.
At least three fifth of all eligible members shall express their opinion in favor of the dissolution.
Any property left after the satisfaction of all debts and liabilities of the Society shall be handed over to the Government of Assam with a request for giving the properties to some other society having seminar objectives according to the provision of the registration of Societies Act XXXI of 1860. In this connection section 13 and 14 of the S.R. Act XXI of 1860 will be followed.


14. Amendment :
 The constitution of the Zoological Society of Assam shall be amended  as may be necessary for the fulfillment of the aims and the objectives of the Society. The executives body will decide the laws and by-laws and it will be placed in the General Meeting for approval. However, in the initial stage of development of the Society the first Executive Body of the Society is empowered, if required for the purpose of smooth functioning, to amend the constitution and that should be placed in the General Meeting for approval.

 

Annexure of the Constitution of Zoological Society of Assam

 

Expulsion of the undesirable member:

Any member who goes against the rules and regulation of the organization  will be expelled from the organization.

Auditor: A qualified auditor will be appointed by the Executive Body for the terms of one year who shall audit the accounts of the society at least once in a year.
Legal Procedure :According  to the provision laid down in the Section 6 of the societies Registration Act, XXI 1860 the Society may sue or may be sued in the name of the President or Secretary of the Society.
